Partner Program Terms and Conditions

PLEASE READ THIS AGREEMENT CAREFULLY ("Agreement"). BY JOINING THE SELFCOMMUNITY PARTNER PROGRAM (THE "PROGRAM"), COMPLETING REGISTRATION VIA PARTNERSTACK AND/OR CLICKING A BUTTON OR CHECKING A BOX MARKED "I AGREE" (OR SIMILAR WORDING), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT, INCLUDING ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT PARTICIPATE (OR CONTINUE TO PARTICIPATE) IN THE PROGRAM.

This Agreement applies to each individual or entity ("Partner," "you," "your") participating in the Program, operated by Quentral Srl ("Quentral," "SelfCommunity," "we," "us," the "Company"), an Italian company with registered office at Via Durini 27, 20122 Milan, Italy, VAT no. 06383360960. This Agreement supplements and does not replace any other agreement in place between the Parties. In the event of a conflict between this Agreement and SelfCommunity's General Terms and Conditions, available at selfcommunity.com/legal-documentation/terms-and-conditions, this Agreement will control with respect to the matters it governs.

The Partner is responsible for ensuring that its employees, contractors, and agents (collectively, "Partner Representatives") comply with the terms of this Agreement. The Partner remains fully liable for any act or omission of its Partner Representatives as if it were its own act or omission.

  1. ENROLLMENT

1.1. To enroll in the Program, you must: (a) complete the registration process via PartnerStack and agree to this Agreement; and (b) provide valid banking details or a payment account (e.g., IBAN, PayPal, or Stripe linked to your PartnerStack account) for receiving payments.

1.2. Following verification of your details, you may be granted access to the Program, at our reasonable discretion. Such access may be denied, revoked, or suspended.

1.3. Once enrolled, you will be able to access authorized promotional materials, tracking Links, and marketing resources, in each case subject to the terms of this Agreement.

1.4. We reserve the right to re-evaluate your enrollment in the Program at any time, and reserve the right to terminate this Agreement and/or your participation in the Program, for any or no reason, subject to the notice requirements set out in Section 9.

  1. DEFINITIONS

"Services" means the SelfCommunity Professional and Enterprise plans, as described at selfcommunity.com/pricing. Orders for plans other than those listed above, including the GO plan, do not generate compensation, unless otherwise agreed in writing.

"Customer" means a person or entity who, through the Partner or a Partner Link, subscribes to the Services.

"Qualifying Order" means an order for the Services accepted in writing by SelfCommunity, in accordance with this Agreement and any applicable Company policies.

"Net Subscription Fees" means the recurring subscription fees for the Services actually paid by the Customer to SelfCommunity, net of VAT and any other taxes, discounts, credits, refunds, and chargebacks, and excluding any fees for ancillary activities referred to in Section 5.2.

"Link" means the unique tracking link(s) made available to the Partner via PartnerStack for the purpose of attributing referred Customers.

"Partner Account" means any SelfCommunity account made available to the Partner for the sole purpose of demonstrating and providing training on the Services to prospective and current Customers.

"Licensed Materials" means logos, trademarks, marketing materials, documentation, and other content made available to the Partner by SelfCommunity for purposes of the Program.

"Brand Features" means the trade names, trademarks, service marks, logos, domain names, and other distinctive brand features of each Party, as owned and controlled by that Party from time to time.

"Confidential Information" means any non-public information exchanged between the Parties in connection with the Program (including business data, pricing, customer information, technology, and know-how), excluding information that was already known to the receiving Party, is or becomes publicly available through no fault of the receiving Party, or is lawfully obtained from a third party without restriction.

  1. NATURE OF THE RELATIONSHIP AND ROLE OF THE PARTNER

3.1. SelfCommunity appoints the Partner as a non-exclusive Authorized SelfCommunity Reseller. For the purposes of this Agreement, "Reseller" identifies the Partner's role in the Program: the Partner is entitled to display, promote, market, and present the Services to prospective and current Customers and to support them throughout the purchase process, using the Links and Licensed Materials for that purpose. The agreement for the Services is entered into directly between SelfCommunity and the Customer, and SelfCommunity invoices the Customer directly. In consideration of its activities, the Partner receives the compensation set out in Section 5.

3.2. The reseller relationship is non-exclusive in both directions: SelfCommunity may admit other partners to the Program, and the Partner may promote competing products, unless otherwise agreed in writing. This Agreement does not constitute a commitment by SelfCommunity to collaborate exclusively with the Partner.

3.3. The Partner acts as an independent contractor. Nothing in this Agreement creates any partnership, joint venture, agency, franchise, or employment relationship between the Parties. The Partner has no authority to bind SelfCommunity, accept offers on its behalf, or make representations on its behalf.

3.4. The Partner must identify itself solely as an "Authorized SelfCommunity Reseller." The Partner may not subcontract or outsource its obligations to SelfCommunity without prior written consent. The use of this title does not entitle the Partner to enter into agreements with Customers, accept orders, or issue invoices on behalf of SelfCommunity.

  1. TRACKING AND ATTRIBUTION VIA PARTNERSTACK

4.1. Attribution of Customers referred by the Partner and tracking of related transactions are carried out through the PartnerStack platform. The Partner is responsible for keeping its PartnerStack account active and up to date for the duration of the Program.

4.2. Attribution via PartnerStack serves the purposes of tracking, reporting, and settling compensation. The Partner may maintain an ongoing relationship with the Customer for commercial and support purposes, while the contractual and billing relationship for the Services remains between SelfCommunity and the Customer.

4.3. If a refund, chargeback, or reversal is issued to a Customer before the associated compensation has been paid to the Partner, such compensation will be cancelled. If it is issued after the compensation has been paid, SelfCommunity may, at its option, offset the corresponding amount against future compensation or request its repayment, and the Partner agrees to repay such amount within thirty (30) days of the request.

4.4. SelfCommunity reserves the right to exclude from compensation calculations any transactions that do not comply with this Agreement or that are reasonably suspected of abusing the Program.

4.5. A Customer is attributed to the Partner that first registered the related deal via PartnerStack, provided that such deal is approved by SelfCommunity. Additional orders from the same Customer registered by the same Partner remain attributed to that Partner. If a different partner registers a deal for a company that is already a Customer, the attribution does not change and such deal does not generate compensation for that partner. SelfCommunity may decline the registration of deals relating to prospects with whom it is already in active negotiation, in accordance with Section 7.5.

  1. COMPENSATION AND BILLING

5.1. For each Customer attributed to the Partner under Section 4 who enters into a Qualifying Order, the Partner will receive compensation equal to 20% of the Net Subscription Fees paid by the Customer, for each payment received during the entire duration of the contractual relationship with the Customer.

5.2. Revenue generated by ancillary activities such as installation, customization, integration, and dedicated support remains the exclusive property of SelfCommunity, unless otherwise agreed in writing.

5.3. The reporting period is monthly. Compensation is calculated and paid in Euro. Any conversion into the currency of the Partner's payout account is performed by PartnerStack at the exchange rate applied by the platform, and any related exchange rate differences and fees are borne by the Partner.

5.4. Payments of accrued compensation are made via PartnerStack within thirty (30) days from the end of the relevant Service reporting period, subject to the platform's processing timelines.

5.5. Compensation figures are net of taxes, which remain the Partner's responsibility under applicable tax law. The Partner is responsible for providing any tax documentation required for payments to be issued via PartnerStack.

5.6. Upon termination of the Partner's participation in the Program, for any reason, the Partner will cease to accrue any compensation, including on Net Subscription Fees paid by Customers already attributed to it, without prejudice to compensation accrued before the termination date.

  1. PARTNER OBLIGATIONS AND RESTRICTIONS

In connection with its promotion, marketing, and use of the Links, the Partner agrees to:

6.1. use commercially reasonable efforts to market, promote, and support the sale of the Services, in accordance with the training and marketing materials provided by SelfCommunity;

6.2. not make any representation, warranty, or commitment regarding the Services to Customers beyond what is expressly set out in this Agreement or otherwise authorized in writing;

6.3. conduct its activities with fairness, professional diligence, and in line with applicable industry standards, avoiding any misleading, false, or unethical practices;

6.4. not use the Links without authorized modification, not mask referring URL information (cloaking), and not engage in cookie stuffing, deceptive pop-ups, or fraudulent attribution techniques;

6.5. not "self-refer" (refer itself or any affiliated entity as a Customer for the purpose of earning compensation);

6.6. not create advertising materials, websites, or content that mimic the look and feel of the SelfCommunity site, or that contain offensive, discriminatory, unlawful, or reputationally harmful content, as determined by us in our reasonable discretion;

6.7. not offer discounts, promotions, coupons, or incentives on SelfCommunity's behalf that have not been expressly authorized in writing;

6.8. comply with applicable law relating to advertising, commercial communications, consumer protection, and data protection (including Regulation (EU) 2016/679, the "GDPR"), refraining from unsolicited communications (spam) and complying with applicable transparency obligations toward referred Customers;

6.9. include, where the promotional nature of the content is not already evident, an adequate disclosure of its commercial relationship with SelfCommunity, in accordance with applicable advertising transparency rules;

6.10. not use SelfCommunity's Brand Features as a keyword, variation, or component of pay-per-click campaigns, nor as a domain or subdomain of its own websites, without prior written authorization;

6.11. maintain and make available upon request accurate and complete records of its promotional activity under the Program, for the duration of the Program and for two (2) years thereafter;

6.12. promptly notify SelfCommunity of any inquiry received from media, authorities, or third parties regarding the Program or its conduct under this Agreement.

  1. SELFCOMMUNITY OBLIGATIONS

SelfCommunity agrees to:

7.1. provide training on the Services free of charge, unless otherwise agreed between the Parties;

7.2. make available documentation, training materials, and promotional materials in reasonable quantities, as well as the Links via PartnerStack;

7.3. ensure the Services are delivered correctly, diligently, and efficiently, consistent with what is described on its official website;

7.4. accurately report, via PartnerStack, transactions attributable to the Partner and pay accrued compensation in accordance with Section 5;

7.5. evaluate each Qualifying Order submitted by the Partner at its own discretion, reserving the right to decline it.

  1. LICENSED MATERIALS; INTELLECTUAL PROPERTY

8.1. All intellectual property rights relating to the Services, content, and technology of SelfCommunity remain the exclusive property of SelfCommunity. Enrollment in the Program does not transfer any right beyond what is expressly granted in this Agreement.

8.2. Subject to your continuing compliance with this Agreement, SelfCommunity grants the Partner a non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Licensed Materials (logos, trademarks, promotional materials) solely for the purpose of promoting and distributing the Services under the Program.

8.3. The Partner grants SelfCommunity a similar non-exclusive, royalty-free license to use the Partner's Brand Features in marketing materials relating to the partnership.

8.4. Either Party may revoke the license granted to the other with written notice and reasonable advance notice. The Partner may not use the Licensed Materials in a manner that is disparaging, misleading, or harmful to SelfCommunity's reputation.

8.5. No press release or public statement regarding the existence or content of the partnership may be issued without the prior written authorization of both Parties.

8.6. The Partner may not modify, decompile, decode, disassemble, or otherwise attempt to derive the source code of the Services.

  1. TERM AND TERMINATION

9.1. This Agreement has an initial term of twenty-four (24) months from the date of acceptance, automatically renewing for successive twelve (12) month periods unless either Party provides written notice of non-renewal. Either Party may terminate this Agreement at any time with at least fifteen (15) days' written notice.

9.2. SelfCommunity may also suspend access to the Program or terminate this Agreement with immediate effect in the event of a breach of the restrictions set out in Section 6, in particular in cases of fraud, manipulation of the Links, or abuse of the PartnerStack attribution system.

9.3. In the event of a material breach not cured within ten (10) days of written notice, or if a Party ceases operations or becomes subject to insolvency proceedings not dismissed within ninety (90) days, the non-breaching Party may suspend performance or terminate the Agreement.

9.4. Continuity for existing Customers. Termination of the relationship with the Partner does not affect Services already subscribed to by Customers. SelfCommunity may extend the effects of this Agreement, solely with respect to the delivery of already-ordered Services, until the natural expiration of each Qualifying Order. Upon termination, SelfCommunity will continue its direct relationship with the Customer without any obligation toward the Partner, subject to Section 5.6.

9.5. Upon termination, all mutual licenses will immediately cease; Confidential Information must be returned or destroyed, subject to any legal retention obligations; the Partner will cease to accrue new compensation, without prejudice to payments already due for compensation accrued prior to termination.

  1. CONFIDENTIALITY

10.1. Each Party undertakes to protect the other Party's Confidential Information using at least the same degree of care it uses to protect its own, but in no event less than reasonable care; not to disclose it to third parties, except to employees and contractors bound by equivalent confidentiality obligations; and to use it solely for the purposes of the Program. Disclosure is permitted only with prior written consent, or when required by law, following prior notice to the other Party where legally possible. Upon request, each Party will return or destroy the other Party's Confidential Information upon termination of the relationship.

10.2. In connection with their respective activities under this Agreement, the Parties act as independent data controllers with respect to any personal data they process, each for its own purposes and within the scope of its own activities, in accordance with the GDPR and applicable data protection law. Where the Partner shares with SelfCommunity personal data of prospective or referred Customers, including via PartnerStack, the Partner warrants that such data was collected in compliance with applicable law and that data subjects were provided with appropriate notice regarding such disclosure. No data processor relationship under Article 28 GDPR is established between the Parties, unless otherwise agreed in writing.

  1. REPRESENTATIONS AND WARRANTIES

11.1. SelfCommunity represents that the Services will, in all material respects, reflect the functionality described in its official materials.

11.2. The Partner represents and warrants that: (i) it has the necessary power to enter into this Agreement; (ii) its promotional activities do not violate any law, regulation, or third-party right; (iii) it will not make false or misleading statements about the Services; (iv) each referred Customer will accept SelfCommunity's Terms and Conditions of use; and (v) it will act in accordance with professional standards and provide full cooperation to SelfCommunity.

11.3. Except as set forth above, the Services, Links, and Licensed Materials are provided "as is" and "as available," without any warranty of results, uninterrupted operation, or error-free performance, to the maximum extent permitted by applicable law.

11.4. The Services, the Site, and their related features are provided subject to availability as determined by SelfCommunity, which reserves the right to modify, suspend, or discontinue them, in whole or in part, at any time and at its sole discretion, including the right to terminate the service provided to an individual Customer, without any liability to SelfCommunity toward either the Partner or the Customer.

  1. LIMITATION OF LIABILITY

Except as otherwise provided in this Agreement, neither Party will be liable to the other for indirect, incidental, special, or consequential damages, including, without limitation, loss of profits, loss of revenue, loss of data, loss of goodwill, or failure to realize anticipated savings.

Except with respect to breaches of confidentiality obligations, SelfCommunity's aggregate liability for any claim arising out of or related to this Agreement will not exceed the total compensation paid to the Partner during the six (6) months immediately preceding the event giving rise to the claim.

In the event of a breach of confidentiality obligations, the maximum liability of the responsible Party will not exceed an amount equal to six (6) times the compensation paid or payable under this Agreement during the twelve (12) months immediately preceding the event giving rise to the claim.

  1. INDEMNIFICATION

The Partner will indemnify and hold harmless SelfCommunity, its officers, employees, and contractors from any third-party claim arising out of: (a) the Partner's or its Representatives' breach of this Agreement; (b) promotional content prepared by the Partner that infringes the intellectual property or privacy rights of third parties; or (c) violation of applicable law in connection with the Partner's promotional activities.

  1. GOVERNING LAW AND JURISDICTION

This Agreement is governed by Italian law. Any dispute relating to this Agreement is subject to the exclusive jurisdiction of the Court of Milan, unless the Parties agree otherwise in writing to submit the dispute to arbitration.

  1. MODIFICATION AND TERMINATION OF THE PROGRAM
